Terms and Conditions

Strategic AI Implementation Consulting Services

1. Parties, Scope, and Definitions

1.1 Parties

These Terms and Conditions ("Terms") govern the relationship between:

Provider: Amir Adjadj, entrepreneur individuel (EI), trading as Digical, SIRET 791 966 062 00022, registered at 141 avenue Félix Faure, 75015 Paris, France ("Digical," "we," "us," "our"). Digical is operated by a sole proprietor and is not a company. If Digical's business is later carried on through a company, §17.1 applies.

Client: The business entity, or the individual acting for professional purposes, entering into an engagement with Digical ("you," "your," "Client").

1.2 Services

Digical provides strategic AI implementation consulting services ("Services"), including but not limited to: AI readiness diagnostics and maturity assessments; strategic AI roadmap development and governance design; multi-agent system architecture and implementation; process automation design and deployment; AI model evaluation, selection, and integration; change management and team enablement; ongoing optimization and strategic advisory.

Services are delivered through engagement tiers and standalone offerings as published and priced at the pricing section of the home page www.digical.fr (the "Pricing Page"), formalized in Statements of Work ("SOW") or Order Forms ("Orders"). The Pricing Page is incorporated into these Terms by reference and is the sole authoritative source for current tier names, fees, capacity limits, and standalone service pricing. The specific fee, tier, and scope applicable to a given engagement are those in effect on the Pricing Page as of the date Client signs the applicable Order Form or SOW, and do not change thereafter except per §4.4.

1.3 Engagement Model

Digical operates as a strategic consulting partner, not a task-based agency or subscription service, combining: strategic advisory (executive-level guidance on AI adoption, governance, and roadmap design); hands-on implementation (direct execution of AI systems, automation workflows, and integrations); team enablement (knowledge transfer, training, internal capability building); and ongoing optimization (continuous improvement through scheduled reviews).

1.4 Precedence

In case of conflict, documents are interpreted in this order: (1) signed Order Form or SOW, (2) Data Processing Addendum ("DPA," executed separately per §12.2), (3) Service Level Agreement ("SLA"), if applicable, (4) these Terms.
